Terms of Service

The agreement between you and SKRAP.

These Terms of Service ("Terms") are an agreement between you and SKRAP. They apply to your use of our iOS app, our website at skrap.co, and your public profile page (collectively, our "Services"), whether you use them as a registered user or as a guest visitor.

By using our Services, you agree to (a) follow these Terms at all times, and (b) our collection and use of personal data as described in our Privacy Policy. If you do not agree, do not use SKRAP.

We respect intellectual property rights and comply with the U.S. Digital Millennium Copyright Act (DMCA) and the Canadian Copyright Act. To report infringement, email legal@skrap.co.

Arbitration notice: With limited exceptions, disputes between you and SKRAP must first be resolved informally. If unresolved, they will be submitted to binding individual arbitration — not court. You waive your right to a jury trial and to participate in class actions. You may opt out within 30 days of account creation. See Section 13.

1. Use of Our Services

Service rules

Be reasonable and responsible. Do not do anything that is illegal or could harm our users, SKRAP, or our Services. Specifically, do not:

Eligibility

You must be at least 13 years old to use SKRAP. Users between 13 and 17 require parental or guardian consent. A parent or guardian who allows a minor to use SKRAP agrees to these Terms on the minor's behalf.

Your account

To access most features, you need to create an account. Keep your account information accurate. Do not share your account with another person. You are responsible for activity that occurs through your account.

Account ownership. Your account, including any URLs or pages we make available to you through SKRAP, is provided to you under licence. Aside from the rights you have in Your Content (Section 2), the account itself is owned by SKRAP and you have no ownership rights in it.

Username

Your username becomes your permanent public URL at skrap.co/@username. Usernames must not impersonate any person or brand. SKRAP may reclaim usernames that violate these Terms or that have been inactive. You have no ownership rights in your username itself.

Changes to our Services

We reserve the right to add, change, or remove features, and to change pricing of any paid features, at our sole discretion. We will provide reasonable notice of material changes that affect your account.

2. Your Content

SKRAP is a creator-centric platform. You own your content. These Terms give us the licence rights we need to host and display it.

What "Your Content" means

Photos, images, text, stickers, frames, cutouts, backgrounds, link buttons, music widget references, and other creative elements you place on your scrapbook page or cover design are referred to as "Your Content". You own Your Content.

The licence you grant SKRAP

By using our Services, you grant SKRAP a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, display, distribute, reformat, and resize Your Content solely to: (a) operate and provide SKRAP; (b) promote SKRAP, with attribution to you; and (c) improve SKRAP's features. This licence ends when you delete Your Content or your account, except that copies in our backup systems or copies that other users have already saved or archived may persist until those backups are recycled in the ordinary course or until other users delete their copies.

AI training: We do not currently use Your Content to train SKRAP's or any third party's AI or machine learning models. If we ever decide to, we will notify you in advance, give you a meaningful chance to opt out, and update these Terms. Opting in to AI training will never be a default.

Feedback

If you submit feedback, ideas, or suggestions about SKRAP, you grant us a perpetual, royalty-free, irrevocable, worldwide licence to use that feedback without restriction or compensation.

Anti-piracy

You authorise SKRAP to act as your agent for the purpose of enforcing your intellectual property rights in Your Content, including sending takedown notices on your behalf. We are not obligated to take such action.

No storage obligation

We are not obligated to store any of Your Content and may permanently delete your account or content in accordance with our general practices, subject to the notice requirements in our Privacy Policy.

Responsibility for Your Content

You are solely responsible for Your Content. By posting, you represent and warrant that: you own it or have all necessary rights; it does not infringe any third-party right; it complies with these Terms and applicable law; and you have the consent of any identifiable individual depicted in Your Content.

3. Content Moderation and Enforcement

You may not use SKRAP's AI features (including the Cutout tool and any future AI features) to:

Child safety

Content that sexualises or exploits minors will be removed immediately and reported to the National Centre for Missing and Exploited Children (NCMEC) in the United States and to the Canadian Centre for Child Protection via Cybertip.ca, along with relevant law enforcement.

Reporting and enforcement

You can report content or accounts that violate these Terms by tapping the report option on any public page in the app, or by emailing support@skrap.co. We do not conduct generalised monitoring but may use automated tools to detect illegal content. We may remove content, suspend, or permanently terminate accounts for violations — without prior notice in serious cases. Suspended users may appeal by contacting support@skrap.co.

DMCA

To report copyright infringement, send a written notice to legal@skrap.co including: identification of the copyrighted work; identification of the infringing material on SKRAP; your contact information; a good faith statement that the use is not authorised; and a statement under penalty of perjury that you are the owner or authorised agent. We have adopted and reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

4. Your Rights With Respect to Our Services

Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, freely revocable licence to use our Services on your devices for personal use only. We (or our licensors) retain all right, title, and interest in our app, our website, and SKRAP's underlying technology.

Public pages

Your SKRAP page at skrap.co/@username is publicly accessible to anyone on the internet without restriction — including visitors who are not logged in. If you have not yet published your page, your URL will show a "coming soon" placeholder; your username and profile photo remain publicly visible. Your page may appear in search results. SKRAP includes a "Made with SKRAP" attribution on all public pages as a condition of the free service.

The Archive and the heart

The heart is the only social interaction on SKRAP. Any user can add your public page to their Archive. There are no comments, direct messages, public likes, follower counts, or algorithmic feeds — by design. You cannot prevent other users from archiving your public page.

AI features

SKRAP offers an AI-powered Cutout feature that removes backgrounds from photos. By using it you agree that you own or have rights to the image you submit, and that you will not process images of real individuals without their consent. AI outputs are provided "as is." SKRAP's AI features do not generate, process, or store biometric identifiers.

Design history

The Page Builder saves snapshots of your previous designs. Restoring a version permanently replaces your current design and cannot be undone. All version history is deleted when your account is deleted.

Beta features

From time to time we may invite you to test pre-release features ("Beta Features"). Beta Features are provided "as is," may be discontinued at any time, and may behave unexpectedly. By using a Beta Feature you agree that: (a) we may collect additional usage data to improve it; (b) any feedback you provide may be used freely by SKRAP without compensation or attribution; (c) information you receive about a Beta Feature is confidential until the feature is publicly launched; and (d) Beta Features are not covered by any warranties or service-level commitments.

5. SKRAP's Proprietary Rights

SKRAP and all related logos, marks, design system, software, features, element library, and sticker packs (collectively, "SKRAP Property") are our exclusive intellectual property and are protected under Canadian, US, and international copyright and trademark law. You may not copy, modify, reverse-engineer, scrape, or create derivative works based on SKRAP Property without our prior written permission.

6. Paid Services

SKRAP may offer premium features for a fee — for example, premium username options, additional element packs, or other features ("Paid Services"). If you purchase a subscription, it will automatically renew until you cancel.

Fees

You agree to pay all fees according to the billing terms in effect at the time of purchase. We may change fees with advance notice. Increased fees apply only from your next billing period.

Payment

Payments may be processed by SKRAP or by Apple App Store, Google Play, or another third-party payment processor, each subject to their own terms. We are not responsible for the actions of third-party payment processors or app stores.

Automatic renewal

Subscriptions renew at the end of each billing period at the then-current price for the same interval. To cancel an iOS subscription: Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period. You will not be refunded for any remaining portion of the current period unless required by applicable law.

Free trials

Some subscriptions may include a free trial period. You must cancel before the trial ends to avoid being charged. If you do not cancel, you will be charged for the full subscription period.

Taxes

We or the app marketplace may charge applicable taxes in addition to subscription fees. You are responsible for any taxes arising from your use of our Services.

California users: Under California's Automatic Renewal Law, you have the right to cancel at any time. Cancellation is effective at the end of your current billing period.

7. Third-Party Links

SKRAP pages may include link buttons pointing to external sites that users configure. We do not control and are not responsible for third-party content, products, or privacy practices. By accessing a third-party link, you agree to be bound by that site's terms.

8. Indemnity

You are responsible for all your activities on SKRAP, including what you post, upload, and share. You agree to defend, indemnify, and hold harmless SKRAP and its officers, directors, employees, and agents from any claims, damages, obligations, losses, and expenses (including reasonable legal fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) any damage or violation of any third-party right — including intellectual property, privacy, or publicity rights — caused by you or Your Content; or (d) your violation of any applicable law.

9. No Warranty

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKRAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SKRAP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE IS AT YOUR SOLE RISK.

10. Limitation of Liability

IN NO EVENT WILL SKRAP BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL — ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES. IN NO EVENT WILL SKRAP'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SKRAP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD/USD $100.

This limitation applies whether liability is based on contract, tort, negligence, or any other basis. Nothing in this section limits liability that cannot be excluded under applicable mandatory consumer protection law, including Ontario's Consumer Protection Act, 2002.

11. Force Majeure

SKRAP is not liable for failures or delays resulting from causes beyond our reasonable control — including third-party service or infrastructure failures, internet outages, denial-of-service attacks, natural disasters, war, civil unrest, public health emergencies, government action, or other force majeure events.

12. Term and Termination

These Terms apply from the date you first use our Services and continue until terminated.

Termination by you

Delete your account at any time from Settings. Account deletion is permanent and irreversible. Active subscriptions must be terminated separately — deleting your account does not automatically cancel a subscription.

Termination by SKRAP

We may suspend or terminate your access to our Services at any time for any reason, including violation of these Terms. You will not receive a refund if we terminate your account due to a violation.

Survival

All provisions that by their nature should survive termination will continue — including content licence terms (Section 2), warranty disclaimers, limitation of liability, indemnity, arbitration, and governing law.

13. Informal Resolution and Arbitration

Informal resolution first

SKRAP wants to resolve disputes informally. Before pursuing formal resolution, email legal@skrap.co or write to SKRAP, 130 Queens Quay East, Unit 615, Toronto, Ontario, Canada with: (a) the nature of your claim; (b) the amount involved (if any); and (c) the remedy you seek. We will use good faith efforts to resolve it within 60 days. If unresolved after 60 days, either party may proceed to binding arbitration.

Agreement to arbitrate

Please read this carefully. Any dispute, claim, or request for relief relating to your use of our Services will be resolved by binding individual arbitration under Ontario's Arbitration Act, 1991. For US users, this is consistent with the Federal Arbitration Act. This agreement applies even after you terminate your account.

Exceptions

Either party may seek equitable relief in court for infringement or misuse of intellectual property rights, or for any illegal or intentional act affecting the security of our Services. Small claims court actions within applicable limits are also exempt.

Arbitration process

Arbitration will be conducted in Toronto, Ontario (or remotely by video conference), in English, by a mutually agreed-upon arbitration service. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

All disputes must be arbitrated on an individual basis only. You waive the right to participate as a plaintiff or class member in any class action or representative proceeding.

Fallback

If this Arbitration Agreement is found unenforceable by a court, disputes will be resolved exclusively in the courts of Toronto, Ontario.

30-day opt-out

You may opt out of this Arbitration Agreement by emailing legal@skrap.co within 30 days of creating your account. Include your name, username, registered email, and a clear statement that you wish to opt out. Opting out does not affect any other part of these Terms.

14. AI and Image Processing

As part of our Services, SKRAP uses AI for the Cutout feature (background removal) and in our in-app photo editing tools. This technology does not generate, process, or store biometric identifiers or biometric information. Photo editing adjustments (brightness, contrast, filters, crop) are stored as parameters with Your Content. AI-processed images (cutouts) are not retained after the operation completes.
